1.         Introduction

 Welcome to the Smply FZCO website and/or mobile application (collectively referred to as the “Website”). These Terms and Conditions (“Terms”) govern your access to and use of the Website, including any purchases made through it and any services provided by Smply FZCO.

 For the purposes of these Terms:

“Smply”, “Company”, “we”, “us”, or “our” refers to Smply FZCO, a company duly incorporated and licensed in the United Arab Emirates with its registered office in the UAE; and “User”, “customer”, or “you” refers to any person accessing or using the Website.

By accessing or using the Website, placing an order, or creating an account, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. 

 If you do not agree with these Terms, you must not access or use the Website.

 

2.         Electronic Acceptance of the Terms

By clicking “Place Order”, “Checkout”, “Create Account”, or any similar confirmation tab on the Website, you acknowledge and agree that such action constitutes electronic acceptance of these Terms, and this acceptance forms a legally binding agreement between you and Smply.

 Electronic communications and confirmations shall have the same legal effect as written agreements.

 

3.         Eligibility

To access or use the Website and place orders, you must be (i) at least eighteen (18) years of age, (ii) possess legal capacity to enter into binding contracts, (iii) provide accurate and truthful personal and payment information, and (iv) use the Website only for personal, non-commercial purposes.

Smply reserves the right to cancel or refuse orders where it reasonably suspects that products are being purchased for resale, commercial distribution, or other unauthorized purposes.

 

4.         Account Registration

Users may use the Website and place orders either as guests or by creating a registered account.

When creating an account, you agree to (i) provide accurate and complete information, (ii) maintain the confidentiality of your login credentials, and (iii) accept responsibility for all activity occurring under your account.

Users must notify Smply immediately of any unauthorized use of their account.

Smply shall not be responsible for any loss resulting from the user’s failure to maintain the security of their login credentials.

We reserve the right to suspend, restrict, or terminate accounts where misuse, fraud, or breach of these Terms is suspected.

 

5.         Orders

All orders placed through the Website constitute an offer by the customer to purchase products.

A binding contract is formed only when Smply confirms acceptance of the order and dispatches the product.

Smply reserves the right to refuse, cancel, or limit any order at its discretion, including for reasons such as product unavailability, pricing errors, payment authorization failure, suspected fraud or unauthorized activity, and/or violation of these Terms.

If an order is cancelled after payment has been successfully processed for reasons attributable to Smply, a full refund will be issued to the original payment method. However, where an order is cancelled due to circumstances attributable to the customer, including but not limited to incorrect or incomplete information provided by the customer, failure to respond to verification requests, refusal to accept delivery, breach of these Terms, and/or suspected fraudulent or unauthorized activity, Smply reserves the right, to the extent permitted under applicable law, to decline the refund request in whole or in part, including the right to retain delivery charges, administrative costs, payment processing fees, or other reasonable expenses incurred in connection with the order.

Refund processing times may vary depending on the customer’s bank or payment provider, and Smply shall not be responsible for delays caused by third-party financial institutions.

 

6.         Pricing

 All prices displayed on the Website are in AED (United Arab Emirates Dirhams) unless stated otherwise.

Prices may include applicable taxes, including VAT (Value Added Tax), where required by law.

Smply reserves the right to (i) update product prices at any time without prior notice, (ii) correct pricing errors, and (iii) cancel orders affected by technical or system pricing errors.

Confirmed orders will not be affected by subsequent price changes.

 

7.         Payment Methods

All orders must be paid in full at the time of purchase.

Smply accepts various payment methods including, credit cards, debit cards, digital wallets or online payment services.

Payments are processed through secure third-party payment providers.

Smply reserves the right to decline, refuse, or cancel transactions if fraud or unauthorized payment activity is suspected.

 

8.         Fraud Prevention & Transaction Verification

To protect customers and prevent fraud, Smply reserves the right to request additional identity verification, delay order processing pending verification, and/or cancel, decline,  or refuse suspicious transactions.

Orders suspected of fraud or abuse may be reported to relevant authorities where required by law.

 

9.         Chargebacks & Payment Disputes

Customers agree to contact Smply directly to resolve any payment concerns before initiating a chargeback through their bank or payment provider.

Where a chargeback is initiated in bad faith or contrary to these Terms, Smply reserves the right to dispute the chargeback with supporting evidence, suspend or terminate the customer’s account, and/or refuse future transactions.

 

10.       Delivery & Returns

Delivery and returns of products purchased through the Website is governed by the Shipping & Returns Policy, which forms an integral part of these Terms and Conditions.

11.       Product Descriptions

Smply makes reasonable effort and strives to ensure that all product descriptions, images, and details are accurate. However, colors may vary depending on device screen settings,  packaging may occasionally differ from images shown, and minor variations may occur due to the natural composition of certain products.

Smply does not guarantee that all Website content will be error-free or completely accurate at all times.

 

12.       Product Use & Safety

Our products are made with natural ingredients and are intended for cosmetic and personal use only. INFORMATION provided on the Website is not intended as medical advice.

Customers are responsible for reviewing product ingredients before use.

SMPLY shall not be liable or responsible for allergic reactions or adverse effects arising from individual sensitivity, misuse of products, or failure to review ingredient information.

If irritation occurs, customers should discontinue use immediately.

 

13.       Intellectual Property

All content on the Website, including, text, graphics, images, logos, trademarks, and Website design, is the property of Smply or its licensors and is protected under applicable intellectual property laws.

You may not reproduce, distribute, modify, or use any Website content without written permission from Smply.

 

14.       Acceptable Use of the Website

Users agree not to misuse the Website or attempt unauthorized access, introduce viruses or malicious code, interfere with Website functionality, or use automated systems (bots or scrapers) without permission.

Violation of these rules may result in termination of access and potential legal action.

 

15.       Website Functionality & Availability

While Smply endeavors to ensure that the Website remains accessible and operates without interruption, we do not guarantee that the Website will always be available, secure, or free from technical errors.

The Website may occasionally be unavailable due to maintenance, upgrades, technical issues, or circumstances beyond our control.

Smply reserves the right, at its sole discretion, to refuse or cancel any order, restrict quantities purchased, or refuse service to any customer where it reasonably believes that an order may involve fraudulent or unauthorized activity, the products are being purchased for resale or commercial distribution the customer has violated these Terms; or fulfilling the order would expose Smply to legal, operational, or reputational risk.

Such decisions may be made without prior notice where reasonably necessary to protect the integrity of the Website or the Company’s operations.

 

17.       Promotions & Discount

From time to time, Smply may offer promotional discounts, promotional codes, or limited-time offers.

Such promotions are subject to specific terms and conditions and may be withdrawn or modified at any time without prior notice.

Smply reserves the right to cancel or refuse orders where promotional codes have been applied in violation of applicable promotional terms or where abuse, duplication, or manipulation of promotional offers is suspected.

 

18.       Third-Party Services

The Website may rely on third-party services, including payment processors, delivery partners, and technology providers.

Smply shall not be responsible for third-party services, policies, or operational failures beyond its control.

 

19.       Limitation of Liability

To the maximum extent permitted by UAE law, Smply shall not be liable for indirect or consequential losses or damages, delivery delays caused by courier services, Website interruptions or technical errors, or misuse of products by customers.

Smply’s total liability in connection with any claim shall not exceed the purchase price of the product giving rise to the claim.

Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.

Smply respects the privacy of its users and is committed to protecting personal data in accordance with applicable laws and regulations of the United Arab Emirates, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (as and when amended).

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

 

23.       Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by applicable law.

 

24.       Amendments

Smply reserves the right to update or modify these Terms at any time. The version published on the Website at the time of your purchase will apply to your order.

Continued use of the Website constitutes acceptance of the revised Terms.

 

 

25.       Non-Waiver

Failure by Smply to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
